CoinW Copy Trading User Agreement

1. Introduction

Copy Trading is a trading service (“the Service”) provided by the CoinW Platform (“the Platform” or “we”). It allows users to interact with, follow, and copy the trading strategies of other users (“Copy Trading”).

By using the Copy Trading service, you agree to abide by this Copy Trading User Agreement (“this Agreement”).

This Agreement is part of the CoinW User Agreement. Your use of the Copy Trading service signifies that you have read, understood, and accepted both this Agreement and the CoinW User Agreement, and that you agree to participate in and use the Service in accordance with the rules and conditions published by the Platform.

The Platform may revise this Agreement from time to time and publish the updated version on the website. The updated version takes effect immediately upon publication. Your continued use of the Service constitutes your acceptance of any updates or amendments. If you do not understand or accept this Agreement or any of its updates, please refrain from using the Service.

 

Risk Disclosure and Platform Statement

1. Non-legal tender

Digital assets are not issued by any government, financial institution, or the Platform. Most digital assets are unregulated; their value and price are not controlled or protected by central banks or financial institutions.

2. Price volatility risk

The prices of digital assets fluctuate greatly, and trading or investing in them involves extremely high risk.

3. Liquidity risk

There is no guarantee that markets for any digital asset will be liquid. At any time there may be a lack of willing counterparties, which can create liquidity problems. In thin or illiquid markets, losses may occur because virtual-asset prices are highly volatile; market participants may find they cannot close out positions unless they accept prices that are very unfavorable to them.

4. Technical Risk:

The services provided for digital-asset trading are built upon foundational technologies such as computer networks and blockchain. These technologies may encounter failures, defects, hacking incidents, exploits, errors, protocol malfunctions, or other unforeseen risks.

5. Cyberattack Risk:

The intangible nature of digital assets and their heavy dependence on technology increase their vulnerability to cyberattacks and theft. Due to the nature of network architecture, digital assets are particularly susceptible to certain types of cyberattacks.

6. Irreversibility risk

Transactions are irreversible. Mistaken deposits or withdrawals cannot be recovered. Lost or stolen private keys may result in unrecoverable losses.

7. Legal and policy risks

Trading in digital assets and derivatives may face legal, policy, and regulatory risks in relevant jurisdictions. Competent authorities may enact regulations that restrict the use of digital assets or otherwise affect demand for them, which may impact their price and value. In addition, banks and other financial institutions may refuse to process funds related to digital-asset transactions, handle wire transfers between platforms, companies, or service providers related to digital assets, or maintain accounts for individuals or entities engaging in digital-asset transactions, which may result in you holding digital assets that cannot be converted into fiat currency for use.

8. Tax risks

Please note that profits from trading digital assets and derivatives may be subject to taxes, duties, or other charges as required by relevant jurisdictions. You are responsible for reporting and paying any taxes that may arise from digital-asset transactions. If you have any questions about the tax status or obligations related to digital-asset investment or trading, you should seek professional advice.

9. Risks of using this Service:


- Internet and network risks: Users may experience network communication failures, system malfunctions, interruptions, errors, delays, and other issues that could lead to losses.

- Cyberattack and hacking risks: Cyberattacks in the form of viruses, Trojan horses, malicious programs, or applications may compromise the security of your account and virtual assets and may cause losses.

- Phishing risks: Attackers may create apps or websites with names or domains similar to this Platform. By creating phishing sites and sending phishing messages or emails, attackers may induce users to input data, personal information, passwords, or other sensitive information, causing losses.

- Information or data defects: Inaccuracies, defects, errors, interruptions, delays, or losses during data transmission may result in user losses.

- Security risks: If you do not keep your account information secure or set a weak password, your account may be attacked and/or accessed without authorization, potentially causing losses.

- Regulatory risks: The Platform may be subject to regulatory directives requiring suspension or termination of services, which may prevent users from accessing their digital assets and result in losses.

10. You must meet the eligibility requirements for using the CoinW Platform and comply with the CoinW User Agreement and its updates. If you do not agree with the terms of this Agreement or the CoinW User Agreement, please stop using this Service immediately.

11. If, in our sole judgment, you violate this Agreement, or if under the laws of your jurisdiction the services provided by the Platform or your use of them are illegal, the Platform has the right to suspend or terminate your account at any time, or suspend or terminate your use of the services we provide.

12. Investing in and trading digital assets involves extremely high risk and is not suitable for most people. You understand that investing in or trading digital assets may lead to partial or total loss, so you should determine your investment amount based on the level of loss you can bear. You understand that digital assets carry derivative risks; if you have any questions, it is recommended that you first seek professional advice.

13. In addition to the risks mentioned above, investing in digital assets also entails other unforeseeable risks. Please refer to and read the Risk Disclosure Statement published on the CoinW website for more details about risks, noting that the Risk Disclosure Statement does not list all risks. You should carefully consider and exercise clear judgment to assess your financial condition and the above risks before making any decision to buy or sell digital assets, and you bear all losses arising therefrom; we assume no liability.

14. The content on the Platform is subject to change at any time without prior notice. We have taken reasonable steps to ensure the accuracy of the information on the website, but we cannot guarantee its accuracy, nor shall we be liable for any direct or indirect losses arising from information on the Platform or from delays or failures in linking to the Internet or transmitting or receiving any notices and information.

15. www.coinw.com is the Platform’s sole official channel for public information.

16. It is prohibited to use the Platform to engage in any illegal transactions or activities, including money laundering, fraud, smuggling, and terrorism financing. If any suspected illegal transactions or activities are discovered, the Platform will take all available measures, including but not limited to freezing accounts and notifying relevant authorities; we bear no responsibility for any resulting consequences and reserve the right to pursue accountability.

17. It is prohibited to use the Platform to conduct unethical trading activities such as malicious market manipulation and improper trading. If such incidents are discovered, the Platform will take preventive protective measures—such as warnings, trading restrictions, and account closures—against any unethical behaviors like malicious price manipulation or malicious interference with the trading system. We bear no responsibility for any resulting consequences and reserve the right to pursue accountability.

The Platform makes no representation or warranty regarding any Copy Trading results or recommendations of specific traders. Users independently decide whether to use the Service and which traders to follow. 

Past performance does not guarantee future results. Users assume full risk and responsibility for all outcomes.

2.1 CoinW Copy Trading Service

1. Business Model of Copy Trading

CoinW’s Copy Trading allows users to follow other traders’ strategies automatically. By placing a copy order, users authorize CoinW to replicate a trader’s operations automatically in their own account. The Platform reserves the right to start, suspend, limit, or expand the Service at any time.

2. Trader and Follower Rules

-Any user familiar with contract trading may apply to become a Lead Trader on this Platform and will be eligible to earn a share of profits from orders or trades copied or followed by other users through the Copy Trading service. The Platform will review applications from Lead Traders based on its internal policies and guidelines and reserves the sole and absolute right to approve or reject any application.

-After a user successfully applies to become a Lead Trader, they must conduct trades through the Platform’s regular trading interface. When a Lead Trader initiates and executes an order or trade, a notification of that transaction will automatically be sent to users who have subscribed to the Copy Trading service and chosen to copy or follow the Lead Trader’s orders or trades. These copy-trading users may then choose to replicate the corresponding trade using available market prices.

-To activate lead trading, the Lead Trader must ensure that their contract account maintains digital assets worth at least 200 USDT. (The Platform may modify this asset requirement at any time.)

-The minimum margin requirement per opening position for a Lead Trader is 10 USDT. (The Platform may modify this minimum margin requirement at any time.)

-Lead Traders may access their copied or followed orders and/or trading records through the Platform’s management portal. The Copy Trading management portal will display all orders and trade records in the Lead Trader’s account in either detailed or summarized form.

-Lead Traders may open positions through limit orders, market orders, or planned-price orders.

-When an account enables Copy Trading, the Lead Trader’s digital assets may be subject to certain trading restrictions.

-Lead Traders must strictly comply with all requirements applicable to orders or trades being copied under the Copy Trading service.

-Copy-trading users acknowledge and agree that choosing to follow a Lead Trader means following all of that Lead Trader’s opening and closing actions. The Lead Trader’s opening information cannot be known in advance.

-Each copy-trading user’s maximum margin allocation per trader followed is 5,000 USDT. (The Platform reserves the right to adjust this limit at any time.)

-The Platform reserves the right, at its sole discretion, to add, change, modify, or revoke any requirements, benefits, or restrictions related to Lead Traders, trading-tier programs, or any Copy Trading activities (including any copied orders or trades).

-If the Platform determines that any trade or copy-trading activity may cause harm or loss to other users or partners, or involves malicious, fraudulent, false, misleading, dishonest, illegal, or unethical behavior, it reserves the right to cancel or roll back any copied order or trade executed by the Lead Trader.

-If the Platform deems any copying behavior to be potentially harmful, fraudulent, deceptive, dishonest, illegal, or unethical, it also reserves the right to revoke the qualification of the Lead Trader involved.

3. Profit-Sharing

Lead traders are incentivized through profit-sharing. Followers must allocate a percentage of their profits to the trader. Profits are settled daily based on closed positions.

 

2. Signal Copy Trading

1. Model

The CoinW Signal Copy Trading Service allows any user to publish trading signals for other users to follow. Copy-trading users follow only the specific orders associated with those signals, rather than all orders made by the signal provider.

2. Signal Trading and Copying Rules

-Users do not need to apply in order to enable signal trading and become Signal Lead Traders.

-Signal Lead Traders must publish their trading signals on a dedicated page.

-Currently, the Platform does not impose any minimum margin or total capital requirements for Signal Lead Traders.

-Signal Lead Traders may place orders only through limit orders.

-In the signal trading mode, after opening a position, the Signal Lead Trader must set both take-profit and stop-loss orders, which cannot be modified afterward.

-Under this mode, a Signal Lead Trader may open up to 10 active signal orders at a time. (The Platform reserves the right to change this maximum limit at any time.)

-In signal copy trading mode, each copy-trade corresponds to one signal order, meaning users follow only the orders associated with that signal, not all orders of the trader.

-Copying under this mode can be completed only through Telegram.

-Users may choose to follow a trade only after seeing the trader’s entry price and set take-profit/stop-loss levels.

-The maximum total margin that a user can allocate across all signal copy trades is 5,000 USDT. (The Platform reserves the right to change this limit at any time.)

-If the Platform determines that any signal trading or copy-trading activity may cause harm or losses to other users or partners, or involves malicious, fraudulent, false, misleading, dishonest, illegal, or unethical behavior, it reserves the right, at its sole discretion, to cancel or roll back any copied orders or trades executed by the Signal Lead Trader

3. Profit-Sharing Rules

-The Platform incentivizes Lead Traders through a profit-sharing mechanism. Lead Traders may receive a portion of the profits earned by users who subscribe to the Copy Trading service or who copy/follow their orders or trades. Copy-trading users are obligated to share a certain percentage of their profits generated from such copied trades with the Lead Trader.

-In the Signal Copy Trading mode, profits are distributed after each individual order is closed, provided that the order yields a profit.

 

2.3 Lead Trader Agreements and Commitments

Lead Traders agree and undertake the following:

-Lead Traders must act in good faith and with integrity, and may only conduct or promote trading activities that are legitimate and appropriate under the Copy Trading service.

-Lead Traders must not publish or disseminate any false or misleading statements that could harm the reputation or goodwill of the Platform and/or its affiliates.

-Lead Traders must not engage in any form of deceptive promotion or marketing to attract followers or Copy Trading participants, including but not limited to making guarantees or promises of stable or fixed returns.

-Lead Traders’ usernames or profiles must not contain personal identifying information (such as real names, contact details, or identity information), nor any content that violates local laws and regulations, harms the reputation or goodwill of the Platform, or could be interpreted as financial advice — including but not limited to trading strategies or Copy Trading-related disclaimers.

-Information such as a Lead Trader’s username, Copy Trading profits or losses, trade details, rankings among other Lead Traders, and other related data may be collected and publicly disclosed on the Platform, the CoinW website, official announcements, and social media or other CoinW entities that serve its users.

 

2.4 Lead Trader Risk-Control Rules

Lead Traders acknowledge and agree to the following risk-control provisions:

If a Lead Trader engages in any of the following violations, the Platform reserves the right to lower their ranking, cancel trades, freeze or suspend their account, and/or take any other measures deemed appropriate, including seeking financial compensation:

-Holding Losses (“Kangdan”): Any order that remains open for seven (7) consecutive days with an unrealized loss exceeding 30% will be considered a “holding loss” order.

-External-Factor Trading: If a trader opens and closes positions frequently for seven consecutive days, placing a large number of orders daily without achieving meaningful profits, such activity will be deemed “external-factor trading.”

-Cross-Account Trading: If the Platform determines that a Lead Trader is executing strategies across multiple accounts, such behavior will be considered “cross-account trading.”

2.5 Responsibilities of Lead Traders

-Choosing to become a Lead Trader is a personal decision made by the user and does not establish any contractual relationship between the Lead Trader and the Platform, such as that of an employee, partner, intermediary, or contractor. Lead Traders understand and acknowledge that they must act in good faith and bear all legal responsibilities and risks that may arise from being a Lead Trader. The Platform assumes no liability or compensation responsibility for the actions of any Lead Trader.

-Lead Traders agree to comply with all applicable laws and regulations within their respective jurisdictions. They are solely responsible for their conduct as Lead Traders and for fulfilling all corresponding duties and obligations. Furthermore, Lead Traders agree not to infringe upon the legitimate rights and interests of any users of the Platform or any third parties. If the Platform, any of its users, brokers, and/or partners suffer any loss due to the actions of a Lead Trader, the Platform reserves the sole and absolute right to pursue compensation from that Lead Trader through legal or other means.

 

6. Copy Trading Service Fee

1. When you engage in trades under the Copy Trading service, the Platform will charge a certain transaction service fee (“Service Fee”). The Platform will collect this fee according to the same rate applicable to similar transactions on the CoinW platform.

2. You hereby agree and authorize the Platform to deduct any payable service fees directly from the digital assets in your account.

 

2.6 Early Termination of Service

1. The Platform reserves the right to terminate the Service at any time, at its sole discretion, under any of the following circumstances:

-When required to do so under applicable laws or regulations of relevant jurisdictions;

-When force majeure events and/or other unforeseeable events make it impossible for the Platform to continue providing the Service;

-When prohibited trading activities occur, including but not limited to:
(i) executing or being reasonably suspected of executing manipulative or abusive trading behavior;
(ii) providing or being reasonably suspected of providing fraudulent or false information during account setup; or
(iii) engaging in any other malicious activities;

-When, based on market conditions or other relevant factors, the Platform deems it necessary to terminate the Service.

(2) The Platform will take reasonable measures to monitor the performance of each trader being copied and the performance of different strategies within the Copy Trading service. The Platform reserves the right to suspend, terminate, or block any of the following:
(a) any trader being copied under the Copy Trading service; and/or
(b) any trading strategy being followed through the Copy Trading feature.
In such cases, all open positions generated through the Copy Trading service will be closed.

(3) The Platform reserves the right to terminate the Copy Trading service at its own discretion, including but not limited to situations where:

-You no longer meet the eligibility requirements for the Service; or

-Providing the Service becomes unfeasible under any applicable law or regulation.

(4) If the Platform decides to terminate the Service early, it will make reasonable efforts to post an announcement on the official website at least three (3) days in advance, though such announcement shall not constitute an obligation of the Platform.

 

3. Limitation of Liability

3.1 Risk Warnings

(1) You expressly agree that your use or non-use of the Service and any related services is at your own risk. Unless expressly stated otherwise in these terms, the Service and all related products and services provided by the Platform, its affiliates, and service providers are offered “as is” and “as available.” The Platform and its affiliates make no express or implied representations or warranties, including but not limited to warranties of merchantability, quality, fitness for a particular purpose, title, or non-infringement. The Platform does not guarantee that the Service will be error-free, uninterrupted, accurate, or reliable. Because certain jurisdictions do not allow the exclusion of implied warranties, these exclusions may not apply to you. The Platform also makes no guarantees regarding the effectiveness, accuracy, reliability, completeness, or timeliness of any technology or information involved in the Service.

(2) Nothing in this Agreement excludes or limits any party’s liability for losses that cannot legally be excluded or limited, such as those arising from negligence or unlawful acts.

(3) As with any asset, the value of digital assets may fluctuate sharply. Users may incur economic losses when buying, selling, holding, or trading digital assets and related instruments. Using this Service is entirely your own decision, and you assume full responsibility for all risks and losses that may arise. The Platform makes no express or implied guarantee regarding the market, value, or price of digital assets. Prices may experience drastic volatility or collapse at any time. By using this Service, you acknowledge and agree that:
(i) You fully understand all risks related to digital assets and related transactions;
(ii) You agree to bear all risks and losses arising from using this Service or participating in any digital-asset-related transactions; and
(iii) The Platform is not responsible for any such risks, losses, or adverse outcomes.

(4) The Platform, its affiliates, and service providers make no representation, warranty, or commitment regarding the performance of any trader, trade, account, portfolio, or strategy. They do not guarantee that the past performance of a trader or portfolio you choose to follow will be replicated. The profits (or losses) you experience may not match those of the copied trader or portfolio.

(5) Past performance, risk scores, statistics, or other information relating to traders, portfolios, or strategies available through the Copy Trading service should not be regarded as reliable indicators of future performance.

(6) The Platform and its affiliates do not guarantee that you will achieve the same profits or losses as the traders or portfolios you follow.

(7) You understand and accept the inherent risks of Copy Trading, including but not limited to automated trading, where trades may open and close in your account without manual intervention, possible execution delays causing additional costs, or failures of the Copy Trading service. You are solely responsible for any and all losses arising from the automatic execution of trades.

(8) The Platform and its affiliates or service providers shall not be liable for any losses caused by:

-Actions taken to execute your instructions;

-Decisions or actions made by the trader you chose to follow; and/or

-Specific trading decisions or actions (or omissions) taken in good faith by any copied account, strategy, or portfolio.

(9) The Platform does not warrant the authenticity, accuracy, reliability, completeness, or validity of content provided, nor does it assume any legal responsibility arising therefrom. You must rely on your own independent judgment when making trading decisions and bear full responsibility for any resulting losses.

(10) You understand and accept that using this Service may expose you to risks and potential losses, including but not limited to:

-Force majeure events causing digital-asset market collapse, resulting in losses or service suspension;

-Technical failures causing delays, blocking access, or preventing transactions, potentially leading to severe or total losses;

-Market anomalies resulting in severe or total losses;

-Adjustments to terms, policies, or agreements as the Platform deems necessary to maintain overall market health.

(11) You should use information obtained through the Platform and/or Copy Trading services for your own independent research and decisions. Do not rely solely on information provided by the Platform. You acknowledge the speculative nature of Copy Trading and that potential losses may exceed your invested capital, including but not limited to:

-Automated execution without manual intervention;

-Manual modifications or closures that result in outcomes different from the copied trader;

-Copy orders below the minimum trade size not being executed;

-Copy trades executing at the best available price at the time of your request, not the original opening price;

-Differences caused by account balance, order size, settings, spread, interest, trade price, or fees;

-Following inexperienced or unprofessional traders;

-Following traders whose goals or financial status differ from yours;

-Following traders dealing in products restricted by applicable laws, leading to differences in performance, composition, or risk exposure.

(12) You acknowledge and agree that order execution is affected by many factors such as position differences, trading-pair liquidity, and total order volume, and that slippage may occur — meaning your trades may be executed at prices different from those of the Lead Trader or other users.

(13) You confirm that you fully understand the nature, risks, and potential losses associated with the Copy Trading service. Before making any investment decisions, you should independently and prudently assess your investment experience, financial condition, objectives, duration, and risk tolerance, as well as your understanding of this product. The risks described above do not cover all possible risks or market conditions. If you have any doubts, please consult an independent financial advisor.

 

3.2 The trading market is unstable and may change rapidly in terms of liquidity, market conditions, and trading dynamics. You bear full responsibility and liability for all trading and non-trading activities conducted on or through your account on this Platform. You acknowledge and agree that you are solely responsible for all actions and omissions in connection with your use of this Platform, the Service, and any other services offered on the Platform, as well as for all profits and losses arising therefrom. You are responsible for all assets and liabilities in your Platform account and for all financial activities and obligations conducted on the Platform. The Platform does not guarantee or assume any liability or compensation for any losses resulting from the Service or any other services provided on the Platform.

3.3 You agree and accept that the Platform’s total liability for any compensation to you shall not exceed the amount of service fees received from you at the time this Service is terminated.

3.4 You agree and accept that the Platform reserves the right, at its sole discretion, to revise these terms at any time. If you misunderstand or fail to review the updated terms in time, the Platform shall not be held responsible for any resulting loss or damage.

3.5 You agree and accept that the Platform and its affiliates shall not be held liable for damages if the Platform cannot operate properly or if service interruptions prevent you from using its services or executing orders or related transactions. Such situations include, but are not limited to, failures, delays, interruptions, suspensions, lack of response, slow system reactions, or any other circumstances that render the Service unavailable, including:

-Service suspension due to maintenance;

-Hacker attacks on the Platform, including but not limited to theft of user passwords, private keys, API keys, illegal account intrusions, and/or illegal transfer of digital assets causing losses;

-Telecommunications equipment failures resulting in data transmission issues;

-Force majeure or other unforeseen events (including but not limited to typhoons, earthquakes, tsunamis, floods, epidemics, power outages, wars, riots, governmental actions, or terrorist attacks) that prevent the Platform system and/or its services from functioning;

-Service interruptions or delays caused by hacking, computer viruses, telecommunication faults, system upgrades, banking issues, or temporary government shutdowns affecting normal network operations;

-System interruptions or delays due to computer system damage, crashes, or malfunctions;

-Losses arising from technical problems that cannot be predicted or resolved with existing industry capabilities;

-Losses caused by errors or delays of third parties;

-Losses caused by changes in applicable laws;

-Losses resulting from other objective, unforeseeable, unavoidable, and/or uncontrollable force majeure or unexpected events;

-Any other losses resulting from external, uncontrollable events beyond the Platform’s responsibility.

You agree and accept that, under the above circumstances, the Platform may, at its discretion, refuse to execute your instructions if it deems it necessary based on actual or appropriate conditions. You understand and agree that the Platform shall not be liable for any losses (including but not limited to direct, indirect, actual, or consequential losses, or lost profits) arising from such circumstances.

3.6 You agree and accept that the Platform bears no liability for any losses you incur (including but not limited to direct, indirect, actual, or consequential losses, or lost profits) arising from the risks outlined in Section 3 of this Agreement.

3.7 The above risk warnings do not disclose all possible risks associated with user trading. Before making trading decisions, users should fully understand the relevant digital assets, carefully assess their trading goals, risk tolerance, and financial condition, and bear all risks and potential losses independently.

 

4. Indemnification

4.1 You shall indemnify and hold the Platform harmless against any claims, lawsuits, actions, demands, disputes, allegations, or investigations initiated by third parties, government agencies, or industry organizations, and against all liabilities, damages (actual and indirect), losses (including direct, indirect, or consequential losses, lost profits, or reputational damage), costs, and expenses — including all interest, fines, legal and reasonable attorneys’ fees, and other professional costs (“Losses”) — arising from or related to:
a) your access to or use of your Platform account and/or services;
b) your violation of any applicable law;
c) your breach of this Agreement or any supplemental documents and terms; or
d) your infringement of any third-party rights.

4.2 You agree to release the Platform from any and all claims and demands, direct or indirect, arising from or related to disputes between you and any other user or third party concerning the Platform’s services (including any digital-asset transactions) or the subject of this Agreement. You also waive any right to claim compensation from the Platform for any losses you may suffer or incur.

 

5. Third-Party Website / App Disclaimer

5.1 Any links within this Service to third-party websites and/or apps do not imply that the Platform endorses any products, services, information, or disclaimers provided therein. The Platform does not guarantee the accuracy of any information contained on such third-party sites. The Platform bears no responsibility for any losses incurred from using third-party products or services.

Furthermore, since the Platform cannot control the terms of use or privacy policies of third-party websites/apps, by using this Service, you confirm that you have carefully read, understood, and agreed to be bound by such terms of use, privacy policies, and related transaction and operational rules (and any amendments thereto) of the third party.

5.2 The Platform and third-party websites are independent legal entities. These terms do not create any agency, partnership, or cooperative relationship between the two parties. Each party shall independently bear responsibility for any debts, claims, or disputes arising from the performance of its respective contracts or agreements.

 

6. Governing Law and Dispute Resolution

6.1 This Agreement is governed by the laws of the Hong Kong Special Administrative Region (HKSAR). Its formation, interpretation, content, and enforcement are subject to Hong Kong law. Any claims or litigation arising from or related to the services provided under this Agreement shall be governed, interpreted, and enforced under Hong Kong law.

6.2 Any disputes arising out of or in connection with this Agreement or any related documents or transactions — including disputes concerning (i) the existence, validity, or termination of this Agreement, and (ii) any non-contractual obligations arising out of or relating to it — shall first be resolved amicably through negotiation.

6.3 If the dispute cannot be resolved through negotiation, it shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its then-current rules. The arbitration shall take place in Hong Kong and be conducted by one (1) arbitrator appointed in accordance with HKIAC rules. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties, and this arbitration clause shall survive the termination of these terms.

6.4 You agree that any claims arising from disputes shall be brought in your individual capacity only. To the extent permitted by applicable law, you further agree to waive any right to pursue claims through class actions, collective actions, or representative proceedings.

 

7. CoinW User Agreement

This Agreement forms part of the CoinW User Agreement. Users should carefully read the CoinW User Agreement before using this Service. All definitions used in this Agreement are consistent with those in the CoinW User Agreement. In case of any conflict between this Agreement and the CoinW User Agreement, unless otherwise stated, the provisions of this Agreement shall prevail.

8. Effectiveness and Interpretation of the Agreement

8.1 By accessing or logging into the Copy Trading page of the Platform, clicking to confirm acceptance of these terms, or initiating any form of Copy Trading activity through the Platform, you acknowledge that you have read, understood, and accepted all contents of this Agreement. This Agreement is legally binding on both parties.

8.2 The rules governing the use and participation in the Copy Trading service, as well as the final right of interpretation of this Agreement, belong solely to the Platform.

1. Introduction

Copy Trading is a trading service (“the Service”) provided by the CoinW Platform (“the Platform” or “we”). It allows users to interact with, follow, and copy the trading strategies of other users (“Copy Trading”).

By using the Copy Trading service, you agree to abide by this Copy Trading User Agreement (“this Agreement”).

This Agreement is part of the CoinW User Agreement. Your use of the Copy Trading service signifies that you have read, understood, and accepted both this Agreement and the CoinW User Agreement, and that you agree to participate in and use the Service in accordance with the rules and conditions published by the Platform.

The Platform may revise this Agreement from time to time and publish the updated version on the website. The updated version takes effect immediately upon publication. Your continued use of the Service constitutes your acceptance of any updates or amendments. If you do not understand or accept this Agreement or any of its updates, please refrain from using the Service.

 

Risk Disclosure and Platform Statement

1. Non-legal tender

Digital assets are not issued by any government, financial institution, or the Platform. Most digital assets are unregulated; their value and price are not controlled or protected by central banks or financial institutions.

2. Price volatility risk

The prices of digital assets fluctuate greatly, and trading or investing in them involves extremely high risk.

3. Liquidity risk

There is no guarantee that markets for any digital asset will be liquid. At any time there may be a lack of willing counterparties, which can create liquidity problems. In thin or illiquid markets, losses may occur because virtual-asset prices are highly volatile; market participants may find they cannot close out positions unless they accept prices that are very unfavorable to them.

4. Technical Risk:

The services provided for digital-asset trading are built upon foundational technologies such as computer networks and blockchain. These technologies may encounter failures, defects, hacking incidents, exploits, errors, protocol malfunctions, or other unforeseen risks.

5. Cyberattack Risk:

The intangible nature of digital assets and their heavy dependence on technology increase their vulnerability to cyberattacks and theft. Due to the nature of network architecture, digital assets are particularly susceptible to certain types of cyberattacks.

6. Irreversibility risk

Transactions are irreversible. Mistaken deposits or withdrawals cannot be recovered. Lost or stolen private keys may result in unrecoverable losses.

7. Legal and policy risks

Trading in digital assets and derivatives may face legal, policy, and regulatory risks in relevant jurisdictions. Competent authorities may enact regulations that restrict the use of digital assets or otherwise affect demand for them, which may impact their price and value. In addition, banks and other financial institutions may refuse to process funds related to digital-asset transactions, handle wire transfers between platforms, companies, or service providers related to digital assets, or maintain accounts for individuals or entities engaging in digital-asset transactions, which may result in you holding digital assets that cannot be converted into fiat currency for use.

8. Tax risks

Please note that profits from trading digital assets and derivatives may be subject to taxes, duties, or other charges as required by relevant jurisdictions. You are responsible for reporting and paying any taxes that may arise from digital-asset transactions. If you have any questions about the tax status or obligations related to digital-asset investment or trading, you should seek professional advice.

9. Risks of using this Service:


- Internet and network risks: Users may experience network communication failures, system malfunctions, interruptions, errors, delays, and other issues that could lead to losses.

- Cyberattack and hacking risks: Cyberattacks in the form of viruses, Trojan horses, malicious programs, or applications may compromise the security of your account and virtual assets and may cause losses.

- Phishing risks: Attackers may create apps or websites with names or domains similar to this Platform. By creating phishing sites and sending phishing messages or emails, attackers may induce users to input data, personal information, passwords, or other sensitive information, causing losses.

- Information or data defects: Inaccuracies, defects, errors, interruptions, delays, or losses during data transmission may result in user losses.

- Security risks: If you do not keep your account information secure or set a weak password, your account may be attacked and/or accessed without authorization, potentially causing losses.

- Regulatory risks: The Platform may be subject to regulatory directives requiring suspension or termination of services, which may prevent users from accessing their digital assets and result in losses.

10. You must meet the eligibility requirements for using the CoinW Platform and comply with the CoinW User Agreement and its updates. If you do not agree with the terms of this Agreement or the CoinW User Agreement, please stop using this Service immediately.

11. If, in our sole judgment, you violate this Agreement, or if under the laws of your jurisdiction the services provided by the Platform or your use of them are illegal, the Platform has the right to suspend or terminate your account at any time, or suspend or terminate your use of the services we provide.

12. Investing in and trading digital assets involves extremely high risk and is not suitable for most people. You understand that investing in or trading digital assets may lead to partial or total loss, so you should determine your investment amount based on the level of loss you can bear. You understand that digital assets carry derivative risks; if you have any questions, it is recommended that you first seek professional advice.

13. In addition to the risks mentioned above, investing in digital assets also entails other unforeseeable risks. Please refer to and read the Risk Disclosure Statement published on the CoinW website for more details about risks, noting that the Risk Disclosure Statement does not list all risks. You should carefully consider and exercise clear judgment to assess your financial condition and the above risks before making any decision to buy or sell digital assets, and you bear all losses arising therefrom; we assume no liability.

14. The content on the Platform is subject to change at any time without prior notice. We have taken reasonable steps to ensure the accuracy of the information on the website, but we cannot guarantee its accuracy, nor shall we be liable for any direct or indirect losses arising from information on the Platform or from delays or failures in linking to the Internet or transmitting or receiving any notices and information.

15. www.coinw.com is the Platform’s sole official channel for public information.

16. It is prohibited to use the Platform to engage in any illegal transactions or activities, including money laundering, fraud, smuggling, and terrorism financing. If any suspected illegal transactions or activities are discovered, the Platform will take all available measures, including but not limited to freezing accounts and notifying relevant authorities; we bear no responsibility for any resulting consequences and reserve the right to pursue accountability.

17. It is prohibited to use the Platform to conduct unethical trading activities such as malicious market manipulation and improper trading. If such incidents are discovered, the Platform will take preventive protective measures—such as warnings, trading restrictions, and account closures—against any unethical behaviors like malicious price manipulation or malicious interference with the trading system. We bear no responsibility for any resulting consequences and reserve the right to pursue accountability.

18. The Legal Statement is part of this Agreement; please refer to and read the Legal Statement carefully.

The Platform makes no representation or warranty regarding any Copy Trading results or recommendations of specific traders. Users independently decide whether to use the Service and which traders to follow.

2.1 CoinW Copy Trading Service

1. Business Model of Copy Trading

CoinW’s Copy Trading allows users to follow other traders’ strategies automatically. By placing a copy order, users authorize CoinW to replicate a trader’s operations automatically in their own account. The Platform reserves the right to start, suspend, limit, or expand the Service at any time.

2. Trader and Follower Rules

-Any user familiar with contract trading may apply to become a Lead Trader on this Platform and will be eligible to earn a share of profits from orders or trades copied or followed by other users through the Copy Trading service. The Platform will review applications from Lead Traders based on its internal policies and guidelines and reserves the sole and absolute right to approve or reject any application.

-After a user successfully applies to become a Lead Trader, they must conduct trades through the Platform’s regular trading interface. When a Lead Trader initiates and executes an order or trade, a notification of that transaction will automatically be sent to users who have subscribed to the Copy Trading service and chosen to copy or follow the Lead Trader’s orders or trades. These copy-trading users may then choose to replicate the corresponding trade using available market prices.

-To activate lead trading, the Lead Trader must ensure that their contract account maintains digital assets worth at least 200 USDT. (The Platform may modify this asset requirement at any time.)

-The minimum margin requirement per opening position for a Lead Trader is 10 USDT. (The Platform may modify this minimum margin requirement at any time.)

-Lead Traders may access their copied or followed orders and/or trading records through the Platform’s management portal. The Copy Trading management portal will display all orders and trade records in the Lead Trader’s account in either detailed or summarized form.

-Lead Traders may open positions through limit orders, market orders, or planned-price orders.

-When an account enables Copy Trading, the Lead Trader’s digital assets may be subject to certain trading restrictions.

-Lead Traders must strictly comply with all requirements applicable to orders or trades being copied under the Copy Trading service.

-Copy-trading users acknowledge and agree that choosing to follow a Lead Trader means following all of that Lead Trader’s opening and closing actions. The Lead Trader’s opening information cannot be known in advance.

-Each copy-trading user’s maximum margin allocation per trader followed is 5,000 USDT. (The Platform reserves the right to adjust this limit at any time.)

-The Platform reserves the right, at its sole discretion, to add, change, modify, or revoke any requirements, benefits, or restrictions related to Lead Traders, trading-tier programs, or any Copy Trading activities (including any copied orders or trades).

-If the Platform determines that any trade or copy-trading activity may cause harm or loss to other users or partners, or involves malicious, fraudulent, false, misleading, dishonest, illegal, or unethical behavior, it reserves the right to cancel or roll back any copied order or trade executed by the Lead Trader.

-If the Platform deems any copying behavior to be potentially harmful, fraudulent, deceptive, dishonest, illegal, or unethical, it also reserves the right to revoke the qualification of the Lead Trader involved.

3. Profit-Sharing

Lead traders are incentivized through profit-sharing. Followers must allocate a percentage of their profits to the trader. Profits are settled daily based on closed positions.

 

2. Signal Copy Trading

1. Model

The CoinW Signal Copy Trading Service allows any user to publish trading signals for other users to follow. Copy-trading users follow only the specific orders associated with those signals, rather than all orders made by the signal provider.

2. Signal Trading and Copying Rules

-Users do not need to apply in order to enable signal trading and become Signal Lead Traders.

-Signal Lead Traders must publish their trading signals on a dedicated page.

-Currently, the Platform does not impose any minimum margin or total capital requirements for Signal Lead Traders.

-Signal Lead Traders may place orders only through limit orders.

-In the signal trading mode, after opening a position, the Signal Lead Trader must set both take-profit and stop-loss orders, which cannot be modified afterward.

-Under this mode, a Signal Lead Trader may open up to 10 active signal orders at a time. (The Platform reserves the right to change this maximum limit at any time.)

-In signal copy trading mode, each copy-trade corresponds to one signal order, meaning users follow only the orders associated with that signal, not all orders of the trader.

-Copying under this mode can be completed only through Telegram.

-Users may choose to follow a trade only after seeing the trader’s entry price and set take-profit/stop-loss levels.

-The maximum total margin that a user can allocate across all signal copy trades is 5,000 USDT. (The Platform reserves the right to change this limit at any time.)

-If the Platform determines that any signal trading or copy-trading activity may cause harm or losses to other users or partners, or involves malicious, fraudulent, false, misleading, dishonest, illegal, or unethical behavior, it reserves the right, at its sole discretion, to cancel or roll back any copied orders or trades executed by the Signal Lead Trader

3. Profit-Sharing Rules

-The Platform incentivizes Lead Traders through a profit-sharing mechanism. Lead Traders may receive a portion of the profits earned by users who subscribe to the Copy Trading service or who copy/follow their orders or trades. Copy-trading users are obligated to share a certain percentage of their profits generated from such copied trades with the Lead Trader.

-In the Signal Copy Trading mode, profits are distributed after each individual order is closed, provided that the order yields a profit.

 

2.3 Lead Trader Agreements and Commitments

Lead Traders agree and undertake the following:

-Lead Traders must act in good faith and with integrity, and may only conduct or promote trading activities that are legitimate and appropriate under the Copy Trading service.

-Lead Traders must not publish or disseminate any false or misleading statements that could harm the reputation or goodwill of the Platform and/or its affiliates.

-Lead Traders must not engage in any form of deceptive promotion or marketing to attract followers or Copy Trading participants, including but not limited to making guarantees or promises of stable or fixed returns.

-Lead Traders’ usernames or profiles must not contain personal identifying information (such as real names, contact details, or identity information), nor any content that violates local laws and regulations, harms the reputation or goodwill of the Platform, or could be interpreted as financial advice — including but not limited to trading strategies or Copy Trading-related disclaimers.

-Information such as a Lead Trader’s username, Copy Trading profits or losses, trade details, rankings among other Lead Traders, and other related data may be collected and publicly disclosed on the Platform, the CoinW website, official announcements, and social media or other CoinW entities that serve its users.

 

2.4 Lead Trader Risk-Control Rules

Lead Traders acknowledge and agree to the following risk-control provisions:

If a Lead Trader engages in any of the following violations, the Platform reserves the right to lower their ranking, cancel trades, freeze or suspend their account, and/or take any other measures deemed appropriate, including seeking financial compensation:

-Holding Losses (“Kangdan”): Any order that remains open for seven (7) consecutive days with an unrealized loss exceeding 30% will be considered a “holding loss” order.

-External-Factor Trading: If a trader opens and closes positions frequently for seven consecutive days, placing a large number of orders daily without achieving meaningful profits, such activity will be deemed “external-factor trading.”

-Cross-Account Trading: If the Platform determines that a Lead Trader is executing strategies across multiple accounts, such behavior will be considered “cross-account trading.”

2.5 Responsibilities of Lead Traders

-Choosing to become a Lead Trader is a personal decision made by the user and does not establish any contractual relationship between the Lead Trader and the Platform, such as that of an employee, partner, intermediary, or contractor. Lead Traders understand and acknowledge that they must act in good faith and bear all legal responsibilities and risks that may arise from being a Lead Trader. The Platform assumes no liability or compensation responsibility for the actions of any Lead Trader.

-Lead Traders agree to comply with all applicable laws and regulations within their respective jurisdictions. They are solely responsible for their conduct as Lead Traders and for fulfilling all corresponding duties and obligations. Furthermore, Lead Traders agree not to infringe upon the legitimate rights and interests of any users of the Platform or any third parties. If the Platform, any of its users, brokers, and/or partners suffer any loss due to the actions of a Lead Trader, the Platform reserves the sole and absolute right to pursue compensation from that Lead Trader through legal or other means.

 

6. Copy Trading Service Fee

1. When you engage in trades under the Copy Trading service, the Platform will charge a certain transaction service fee (“Service Fee”). The Platform will collect this fee according to the same rate applicable to similar transactions on the CoinW platform.

2. You hereby agree and authorize the Platform to deduct any payable service fees directly from the digital assets in your account.

 

2.6 Early Termination of Service

1. The Platform reserves the right to terminate the Service at any time, at its sole discretion, under any of the following circumstances:

-When required to do so under applicable laws or regulations of relevant jurisdictions;

-When force majeure events and/or other unforeseeable events make it impossible for the Platform to continue providing the Service;

-When prohibited trading activities occur, including but not limited to:
(i) executing or being reasonably suspected of executing manipulative or abusive trading behavior;
(ii) providing or being reasonably suspected of providing fraudulent or false information during account setup; or
(iii) engaging in any other malicious activities;

-When, based on market conditions or other relevant factors, the Platform deems it necessary to terminate the Service.

(2) The Platform will take reasonable measures to monitor the performance of each trader being copied and the performance of different strategies within the Copy Trading service. The Platform reserves the right to suspend, terminate, or block any of the following:
(a) any trader being copied under the Copy Trading service; and/or
(b) any trading strategy being followed through the Copy Trading feature.
In such cases, all open positions generated through the Copy Trading service will be closed.

(3) The Platform reserves the right to terminate the Copy Trading service at its own discretion, including but not limited to situations where:

-You no longer meet the eligibility requirements for the Service; or

-Providing the Service becomes unfeasible under any applicable law or regulation.

(4) If the Platform decides to terminate the Service early, it will make reasonable efforts to post an announcement on the official website at least three (3) days in advance, though such announcement shall not constitute an obligation of the Platform.

 

3. Limitation of Liability

3.1 Risk Warnings

(1) You expressly agree that your use or non-use of the Service and any related services is at your own risk. Unless expressly stated otherwise in these terms, the Service and all related products and services provided by the Platform, its affiliates, and service providers are offered “as is” and “as available.” The Platform and its affiliates make no express or implied representations or warranties, including but not limited to warranties of merchantability, quality, fitness for a particular purpose, title, or non-infringement. The Platform does not guarantee that the Service will be error-free, uninterrupted, accurate, or reliable. Because certain jurisdictions do not allow the exclusion of implied warranties, these exclusions may not apply to you. The Platform also makes no guarantees regarding the effectiveness, accuracy, reliability, completeness, or timeliness of any technology or information involved in the Service.

(2) Nothing in this Agreement excludes or limits any party’s liability for losses that cannot legally be excluded or limited, such as those arising from negligence or unlawful acts.

(3) As with any asset, the value of digital assets may fluctuate sharply. Users may incur economic losses when buying, selling, holding, or trading digital assets and related instruments. Using this Service is entirely your own decision, and you assume full responsibility for all risks and losses that may arise. The Platform makes no express or implied guarantee regarding the market, value, or price of digital assets. Prices may experience drastic volatility or collapse at any time. By using this Service, you acknowledge and agree that:
(i) You fully understand all risks related to digital assets and related transactions;
(ii) You agree to bear all risks and losses arising from using this Service or participating in any digital-asset-related transactions; and
(iii) The Platform is not responsible for any such risks, losses, or adverse outcomes.

(4) The Platform, its affiliates, and service providers make no representation, warranty, or commitment regarding the performance of any trader, trade, account, portfolio, or strategy. They do not guarantee that the past performance of a trader or portfolio you choose to follow will be replicated. The profits (or losses) you experience may not match those of the copied trader or portfolio.

(5) Past performance, risk scores, statistics, or other information relating to traders, portfolios, or strategies available through the Copy Trading service should not be regarded as reliable indicators of future performance.

(6) The Platform and its affiliates do not guarantee that you will achieve the same profits or losses as the traders or portfolios you follow.

(7) You understand and accept the inherent risks of Copy Trading, including but not limited to automated trading, where trades may open and close in your account without manual intervention, possible execution delays causing additional costs, or failures of the Copy Trading service. You are solely responsible for any and all losses arising from the automatic execution of trades.

(8) The Platform and its affiliates or service providers shall not be liable for any losses caused by:

-Actions taken to execute your instructions;

-Decisions or actions made by the trader you chose to follow; and/or

-Specific trading decisions or actions (or omissions) taken in good faith by any copied account, strategy, or portfolio.

(9) The Platform does not warrant the authenticity, accuracy, reliability, completeness, or validity of content provided, nor does it assume any legal responsibility arising therefrom. You must rely on your own independent judgment when making trading decisions and bear full responsibility for any resulting losses.

(10) You understand and accept that using this Service may expose you to risks and potential losses, including but not limited to:

-Force majeure events causing digital-asset market collapse, resulting in losses or service suspension;

-Technical failures causing delays, blocking access, or preventing transactions, potentially leading to severe or total losses;

-Market anomalies resulting in severe or total losses;

-Adjustments to terms, policies, or agreements as the Platform deems necessary to maintain overall market health.

(11) You should use information obtained through the Platform and/or Copy Trading services for your own independent research and decisions. Do not rely solely on information provided by the Platform. You acknowledge the speculative nature of Copy Trading and that potential losses may exceed your invested capital, including but not limited to:

-Automated execution without manual intervention;

-Manual modifications or closures that result in outcomes different from the copied trader;

-Copy orders below the minimum trade size not being executed;

-Copy trades executing at the best available price at the time of your request, not the original opening price;

-Differences caused by account balance, order size, settings, spread, interest, trade price, or fees;

-Following inexperienced or unprofessional traders;

-Following traders whose goals or financial status differ from yours;

-Following traders dealing in products restricted by applicable laws, leading to differences in performance, composition, or risk exposure.

(12) You acknowledge and agree that order execution is affected by many factors such as position differences, trading-pair liquidity, and total order volume, and that slippage may occur — meaning your trades may be executed at prices different from those of the Lead Trader or other users.

(13) You confirm that you fully understand the nature, risks, and potential losses associated with the Copy Trading service. Before making any investment decisions, you should independently and prudently assess your investment experience, financial condition, objectives, duration, and risk tolerance, as well as your understanding of this product. The risks described above do not cover all possible risks or market conditions. If you have any doubts, please consult an independent financial advisor.

 

3.2 The trading market is unstable and may change rapidly in terms of liquidity, market conditions, and trading dynamics. You bear full responsibility and liability for all trading and non-trading activities conducted on or through your account on this Platform. You acknowledge and agree that you are solely responsible for all actions and omissions in connection with your use of this Platform, the Service, and any other services offered on the Platform, as well as for all profits and losses arising therefrom. You are responsible for all assets and liabilities in your Platform account and for all financial activities and obligations conducted on the Platform. The Platform does not guarantee or assume any liability or compensation for any losses resulting from the Service or any other services provided on the Platform.

3.3 You agree and accept that the Platform’s total liability for any compensation to you shall not exceed the amount of service fees received from you at the time this Service is terminated.

3.4 You agree and accept that the Platform reserves the right, at its sole discretion, to revise these terms at any time. If you misunderstand or fail to review the updated terms in time, the Platform shall not be held responsible for any resulting loss or damage.

3.5 You agree and accept that the Platform and its affiliates shall not be held liable for damages if the Platform cannot operate properly or if service interruptions prevent you from using its services or executing orders or related transactions. Such situations include, but are not limited to, failures, delays, interruptions, suspensions, lack of response, slow system reactions, or any other circumstances that render the Service unavailable, including:

-Service suspension due to maintenance;

-Hacker attacks on the Platform, including but not limited to theft of user passwords, private keys, API keys, illegal account intrusions, and/or illegal transfer of digital assets causing losses;

-Telecommunications equipment failures resulting in data transmission issues;

-Force majeure or other unforeseen events (including but not limited to typhoons, earthquakes, tsunamis, floods, epidemics, power outages, wars, riots, governmental actions, or terrorist attacks) that prevent the Platform system and/or its services from functioning;

-Service interruptions or delays caused by hacking, computer viruses, telecommunication faults, system upgrades, banking issues, or temporary government shutdowns affecting normal network operations;

-System interruptions or delays due to computer system damage, crashes, or malfunctions;

-Losses arising from technical problems that cannot be predicted or resolved with existing industry capabilities;

-Losses caused by errors or delays of third parties;

-Losses caused by changes in applicable laws;

-Losses resulting from other objective, unforeseeable, unavoidable, and/or uncontrollable force majeure or unexpected events;

-Any other losses resulting from external, uncontrollable events beyond the Platform’s responsibility.

You agree and accept that, under the above circumstances, the Platform may, at its discretion, refuse to execute your instructions if it deems it necessary based on actual or appropriate conditions. You understand and agree that the Platform shall not be liable for any losses (including but not limited to direct, indirect, actual, or consequential losses, or lost profits) arising from such circumstances.

3.6 You agree and accept that the Platform bears no liability for any losses you incur (including but not limited to direct, indirect, actual, or consequential losses, or lost profits) arising from the risks outlined in Section 3 of this Agreement.

3.7 The above risk warnings do not disclose all possible risks associated with user trading. Before making trading decisions, users should fully understand the relevant digital assets, carefully assess their trading goals, risk tolerance, and financial condition, and bear all risks and potential losses independently.

 

4. Indemnification

4.1 You shall indemnify and hold the Platform harmless against any claims, lawsuits, actions, demands, disputes, allegations, or investigations initiated by third parties, government agencies, or industry organizations, and against all liabilities, damages (actual and indirect), losses (including direct, indirect, or consequential losses, lost profits, or reputational damage), costs, and expenses — including all interest, fines, legal and reasonable attorneys’ fees, and other professional costs (“Losses”) — arising from or related to:
a) your access to or use of your Platform account and/or services;
b) your violation of any applicable law;
c) your breach of this Agreement or any supplemental documents and terms; or
d) your infringement of any third-party rights.

4.2 You agree to release the Platform from any and all claims and demands, direct or indirect, arising from or related to disputes between you and any other user or third party concerning the Platform’s services (including any digital-asset transactions) or the subject of this Agreement. You also waive any right to claim compensation from the Platform for any losses you may suffer or incur.

 

5. Third-Party Website / App Disclaimer

5.1 Any links within this Service to third-party websites and/or apps do not imply that the Platform endorses any products, services, information, or disclaimers provided therein. The Platform does not guarantee the accuracy of any information contained on such third-party sites. The Platform bears no responsibility for any losses incurred from using third-party products or services.

Furthermore, since the Platform cannot control the terms of use or privacy policies of third-party websites/apps, by using this Service, you confirm that you have carefully read, understood, and agreed to be bound by such terms of use, privacy policies, and related transaction and operational rules (and any amendments thereto) of the third party.

5.2 The Platform and third-party websites are independent legal entities. These terms do not create any agency, partnership, or cooperative relationship between the two parties. Each party shall independently bear responsibility for any debts, claims, or disputes arising from the performance of its respective contracts or agreements.

 

6. Governing Law and Dispute Resolution

6.1 This Agreement is governed by the laws of the Hong Kong Special Administrative Region (HKSAR). Its formation, interpretation, content, and enforcement are subject to Hong Kong law. Any claims or litigation arising from or related to the services provided under this Agreement shall be governed, interpreted, and enforced under Hong Kong law.

6.2 Any disputes arising out of or in connection with this Agreement or any related documents or transactions — including disputes concerning (i) the existence, validity, or termination of this Agreement, and (ii) any non-contractual obligations arising out of or relating to it — shall first be resolved amicably through negotiation.

6.3 If the dispute cannot be resolved through negotiation, it shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its then-current rules. The arbitration shall take place in Hong Kong and be conducted by one (1) arbitrator appointed in accordance with HKIAC rules. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties, and this arbitration clause shall survive the termination of these terms.

6.4 You agree that any claims arising from disputes shall be brought in your individual capacity only. To the extent permitted by applicable law, you further agree to waive any right to pursue claims through class actions, collective actions, or representative proceedings.

 

7. CoinW User Agreement

This Agreement forms part of the CoinW User Agreement. Users should carefully read the CoinW User Agreement before using this Service. All definitions used in this Agreement are consistent with those in the CoinW User Agreement. In case of any conflict between this Agreement and the CoinW User Agreement, unless otherwise stated, the provisions of this Agreement shall prevail.

8. Effectiveness and Interpretation of the Agreement

8.1 By accessing or logging into the Copy Trading page of the Platform, clicking to confirm acceptance of these terms, or initiating any form of Copy Trading activity through the Platform, you acknowledge that you have read, understood, and accepted all contents of this Agreement. This Agreement is legally binding on both parties.

8.2 The rules governing the use and participation in the Copy Trading service, as well as the final right of interpretation of this Agreement, belong solely to the Platform.
