CoinW Contract Service User Agreement

The Contract Service (the “Service”) is a digital asset derivatives product launched by the CoinW (“CoinW” or “the Platform,” or “we”). Before using or activating this Service, you should carefully read and comply with this CoinW Contract Service User Agreement (the “Agreement”). Users utilizing the Platform’s Contract Service shall be bound by all the terms and conditions set forth herein.

This Agreement forms an integral part of the CoinW User Agreement. By accessing or using the Platform’s Contract Service, you acknowledge that you have read, understood, and accepted this Agreement and the CoinW User Agreement, and that you agree to participate in and use the Contract Service in accordance with this Agreement and the rules and conditions published by the Platform.

The Platform may amend or update this Agreement from time to time. Any revised or updated version shall take effect immediately upon publication on the Platform. You acknowledge and agree that continued use of the Service after the revised Agreement has been published constitutes your acceptance of and agreement to be bound by the updated terms. If you do not fully understand or accept this Agreement or any of its amendments, please discontinue use of the Service immediately.

 

Risk Disclosure and Platform Statement

1. Non-Legal Tender: Digital assets are not issued by any government, financial institution, or this Platform. Most digital assets are currently unregulated, and their value and prices are not subject to control or protection by any central bank or financial authority.

2. Price Volatility Risk: The prices of digital assets are highly volatile. Investment or trading in digital assets carries extremely high risk.

3. Liquidity Risk: There is no guarantee that a market for any digital asset will exist or remain liquid. At times, there may be insufficient counterparties to facilitate trades, which may result in liquidity issues. Thinly traded or illiquid markets can lead to losses, as participants may find it impossible to close positions except at disadvantageous prices due to market illiquidity.

4. Technical Risk: Services supporting digital asset trading rely on computer networks, blockchain, and other underlying technologies. Such technologies may encounter failures, defects, hacking incidents, exploits, errors, protocol malfunctions, or other unforeseen risks.

5. Cyberattack Risk: Due to their intangible nature and heavy reliance on technology, digital assets are susceptible to cyberattacks and theft. The structural nature of digital asset networks may expose them to certain types of network attacks.

6. Irreversibility Risk: Each digital asset corresponds to a unique deposit address. If a user mistakenly deposits another type of digital asset to this address, such assets will be permanently lost and unrecoverable. Likewise, if a user enters an incorrect withdrawal address, once the transaction is confirmed, it is irreversible, and the user cannot recover the withdrawn amount. Similarly, stolen assets, or digital assets lost or destroyed due to compromised, damaged, or lost private keys, are generally unrecoverable.

7. Legal and Regulatory Risk: Digital asset and derivatives trading may be subject to legal, policy, or regulatory risks within relevant jurisdictions. Authorities may impose restrictions on the use or demand for digital assets, affecting their price and value. Furthermore, banks or financial institutions may refuse to process digital asset transactions, maintain accounts, or handle wire transfers related to digital asset trading platforms, companies, or service providers, which may result in users being unable to convert or use digital assets as fiat currency.

8. Taxation Risk: You should note that profits derived from digital asset or derivatives trading may be subject to taxation, duties, or other fees under applicable laws. You are solely responsible for reporting and paying any taxes arising from your digital asset activities. If you have any uncertainty regarding the tax treatment of your investments or trades, you should seek professional advice.

9. Risks Associated with Using the Service:

  - Internet and Network Risks: Users may encounter communication failures, system errors, interruptions, delays, or other issues leading to loss.

  - Cybersecurity and Hacking Risks: Attacks such as viruses, Trojans, or malicious programs may compromise your account and assets.

  - Phishing Risks: Attackers may create fake applications or websites resembling the Platform to trick users into providing personal data, resulting in loss.

  - Information or Data Risks: Inaccuracies, defects, or transmission delays in data may cause losses.

  - Security Risks: Weak passwords or poor account security may lead to unauthorized access and loss.

  - Regulatory Risks: The Platform may be subject to regulatory actions such as suspension or termination of services, which could result in users being unable to access their assets.

10. You must meet the eligibility requirements outlined in the CoinW User Agreement and any updates thereto. If you disagree with the terms of this Agreement or the CoinW User Agreement, please cease using the Service immediately.

11. The Platform reserves the right to suspend or terminate your account or access to the Service at any time if it determines, at its sole discretion, that you have violated this Agreement or that providing services to you is illegal under applicable law in your jurisdiction.

12. Digital asset investment and trading are highly risky and unsuitable for most individuals. You understand that trading digital assets may result in partial or total loss. You should therefore determine your investment amount based on your risk tolerance. If in doubt, seek professional advice.

13. In addition to the risks listed above, other unforeseeable risks may exist. Please refer to and read the Risk Disclosure Statement published on the CoinW website for more details. The Statement does not list all risks. You are solely responsible for assessing your financial situation and risk tolerance before engaging in any digital asset transactions. The Platform assumes no liability for any resulting losses.

14. The content of the Platform is subject to change without notice. While reasonable measures are taken to ensure accuracy, no guarantee is made, and the Platform shall not be liable for any loss arising from information delays, transmission failures, or inaccuracies.

15. The official information publication channel of the Platform is www.coinw.com.

16. It is strictly prohibited to use the Platform for money laundering, fraud, smuggling, terrorist financing, or any illegal activity. If any suspected illegal activity is discovered, the Platform may freeze accounts, report to relevant authorities, or take other actions as permitted by law, without liability.

17. Malicious market manipulation, improper trading, or unethical activity is prohibited. The Platform reserves the right to issue warnings, restrict trading, or close accounts involved in such actions, and shall not be liable for any resulting losses.

18. The Legal Statement forms part of this Agreement. Please read it carefully.

 

1. User Eligibility

1.1 Before opening a contract account or using the Service, you must read and agree to the CoinW User Agreement and this Agreement. If you do not agree, please discontinue use immediately. By opening a contract account or using the Service, you are deemed to have fully understood and accepted this Agreement, including any amendments made by the Platform.

1.2 Registration and use of the Service constitute acknowledgment and acceptance of all terms herein and in any supplementary documents. You confirm and warrant that:

- You are at least 18 years old or have reached the legal age of majority under applicable law, and possess full civil capacity. If you are deemed legally incapacitated or of limited capacity, you and your legal guardian shall bear any resulting responsibility. The Platform may suspend or terminate your account and freeze your assets until the issue is resolved.

- If you act on behalf of an institutional user, you must be duly authorized to represent and bind that entity.

The Platform reserves the right to suspend or permanently freeze accounts of users lacking legal capacity and to pursue corresponding liabilities.

1.3 Restrictions by Jurisdiction

Depending on the laws of your country or region, you may not be eligible to use the Service. The Platform reserves the right to impose functional or access limitations. The Platform may also deny services to individuals, entities, or regions listed as high-risk or sanctioned under anti-money laundering (AML) or counter-terrorism financing (CTF) regulations.

1.4 User Information and Obligations

You agree to provide valid contact information, such as email address and phone number, as required by the Platform. You may log in using verified credentials. Where required by law, you must provide and keep updated your real name, identification document, residential address, and other KYC/AML-related information. You are responsible for ensuring the authenticity, completeness, and accuracy of your data and for any losses arising from false or outdated information.

1.5 You further declare:

- Your digital assets used in transactions are lawfully obtained and owned by you.

- You assume full responsibility for any profits or losses arising from your trades.

- You agree to comply with applicable laws, including tax reporting obligations.

- You will not engage in any activity harmful to the Platform or its users.

- Your use of the Platform does not violate any applicable laws or regulations.

 

2. Use of Service

a. You may place trading orders through the Platform’s web, client, or app interface. Once executed, orders cannot be canceled or modified.

b. Opening an order establishes a corresponding contract position; closing an order reduces your open position.

c. If adverse price movements cause your margin to fall below the maintenance level, the Platform may initiate forced liquidation.

d. In extreme market conditions, it may be difficult or impossible to close positions.

e. Losses from liquidation are solely your responsibility; the Platform shall not be liable for any resulting damages.

f. The Platform assumes no liability for order execution or transmission errors.

g. For detailed trading rules, refer to the CoinW Perpetual Contract Trading Rules.

 

3. Margin

a. You must maintain sufficient margin in your contract account as required by the Platform, which has sole discretion over margin value and type.

b. The Platform may modify margin requirements at any time with or without notice.

c. If your margin falls below the liquidation threshold, the Platform may, at its discretion, liquidate all or part of your positions to satisfy requirements.

 

4. Fees and Funding Costs

a. You shall pay all applicable trading and service fees as published by the Platform.

b. The Platform may deduct all payable fees, commissions, penalties, and other charges from your account.

c. The Platform reserves the right to adjust fee schedules periodically.

d. Funding fees shall be paid between users holding long and short positions during settlement.

e. You are solely responsible for any applicable taxes or expenses incurred.

 

5. Limitation of Liability

a. You acknowledge that you fully understand contract trading rules and policies. Misunderstanding or misuse shall not give rise to Platform liability.

b. All services are provided on an “as is” basis without express or implied warranties.

c. The Platform shall not be liable for:

- Loss of income, profits, or contracts;

- Business interruption;

- Data errors or transmission delays;

- Theft or device loss;

- Market volatility;

- Indirect, incidental, or consequential losses of any kind.

d. The Platform shall not be responsible for losses arising from user violations, regulatory investigations, misunderstandings, or external causes beyond its control.

e. The Platform shall not be liable for service interruptions caused by maintenance, communication failures, power outages, force majeure, or acts of government.

f. The Platform does not guarantee that all data, software, or links are secure or virus-free.

g. Accessing third-party websites via the Platform is at your own risk.

h. The Platform makes no guarantees regarding the accuracy, stability, or reliability of services. You assume all related risks.

 

6. Indemnification

You agree to indemnify and hold the Platform harmless from any claims, actions, damages, or expenses (including legal fees) arising from:

- Your use of the Service;

- Your violation of laws or this Agreement;

- Any infringement of third-party rights.

The Platform’s aggregate liability for direct damages shall not exceed the total fees charged to you for the Service during the three (3) months preceding the event.

 

7. Governing Law and Dispute Resolution

a. This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

b. Any dispute arising out of or in connection with this Agreement shall first be resolved through amicable negotiation.

c. If unresolved, the dispute shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its rules in force at the time. The seat of arbitration shall be Hong Kong, the language shall be English, and the award shall be final and binding on both parties.

d. You agree to bring claims only in an individual capacity and waive the right to participate in any class, collective, or representative action.

 

8. Relationship with CoinW User Agreement

This Agreement forms part of the CoinW User Agreement. Any definitions herein shall be consistent with those in the CoinW User Agreement. In case of conflict, this agreement shall prevail.

 

9. Effectiveness and Interpretation

a. By accessing or using the Platform’s contract trading services, you acknowledge that you have accepted this Agreement in full, which constitutes a legally binding contract.

b. The Platform reserves the right of final interpretation and amendment of all rules governing CoinW Contract Services.
